Description
Crescent is currently looking for an enthusiastic transactional attorney to join our legal team in Fort Worth, Texas. You will be working directly with other members of the legal team, our asset managers, our investment team and our corporate personnel to assist with the legal functions of our existing real estate investments as well as assisting with acquisitions and divestitures. You will draft and negotiate legal documents, advise the company as to legal compliance, and perform other aspects of a legal practice for a large real estate investment company. Crescent invests across all product types including office, hospitality, multifamily and development in the U.S.

As Legal Counsel, typical routine activities might include the following:
- Work with business team members in drafting, negotiating, reviewing, and interpreting contracts.
- Review and interpret loan documents, joint venture agreements, confidentiality agreements and other agreements affecting the company’s investments.
- Work with other members of the legal team on entity-related matters, including resolutions and consents.
- Work with investor relations on subscription agreements and investor assignments.
- Oversee outside counsel for litigation and select operational assignments. Direct such projects with only periodic input and oversight from supervising attorney.
- Gather information to formulate defenses to claims/lawsuits or to initiate legal action. Attend settlement conferences and mediations with appropriate business people and outside counsel if appropriate. Take an active role in such matters.
- Draft internal/external communications, memos, and presentations with high levels of professional institutional quality as directed.
- Work with Finance, Accounting, Tax, Treasury, Records, Human Resources, and other corporate departments to address and resolve legal issues.
- Participate in discussions in strategic meetings to discuss legal initiatives.
- Perform any other job-related duties as assigned.
You need to have:
 
- Juris Doctorate (J.D.) or equivalent degree from an accredited law school.
- At least 1-3 years’ experience as an attorney, with one or more years’ experience in real estate, and be familiar with a wide variety of concepts, practices, and procedures within general real estate field and some general law principles for other legal areas relevant to real estate and corporate issues. Fund-related experience is a plus.
- License to practice law and in good standing with the State Bar of Texas.
You will also need to:
- Have the ability to read, analyze and interpret complex documents and to respond effectively to the most sensitive inquiries or complaints.
- Be able to compose clear and well-reasoned correspondence and memoranda using proper English grammar and concise, efficient language, and to review and revise work product of subordinates, outside counsel, and other company representatives using same standards.
- Have the ability to apply principles of logical thinking to a wide range of intellectual and practical problems with a variety of abstract and concrete variables.
- Have the ability to analyze complex facts and legal issues and draw reasonable and defensible conclusions.
- Be able to formulate logical positions and arguments to promote and protect the interests of the company.
- Rely on increasing experience and judgment to plan and accomplish goals. A significant degree of creativity and latitude is expected.
- Have the ability to work with others, follow direction from management, and follow workplace procedures. You will lead and direct the work of others so you must be able to coordinate efforts in a team environment and to interact closely with legal department personnel and other company employees.
- Be self-sufficient in using a computer to send and receive e-mails, draft and edit complex documents, set up and modify spreadsheets, and similar conventional legal office functions.
- Have hands-on transactional due diligence and closing experience.
- Have a strong working knowledge of the Microsoft Office suite of products
- Be able to travel up to 10%.
